Update: Compensation committees face many responsibilities in remainder of 2007

Compensation committees face a full agenda in 2007 as they assess proxies filed under the new disclosure rules and race to meet the compliance deadline for nonqualified deferred compensation plans subject to section 409A. Along with completing 409A changes, committees may have to revise pay programs in light of shareholder proposals passed this year or trends found in competitors' proxies. This also is the time to plan for 2008 proxy filings and identify items needing shareholder approval next year.
