Financial Management of a
Frozen Pension Plan:
How to Do It Right
Speakers: Chris Herman, Scott Jarboe, Bob Moreen, and Ravi
Venkataraman
Many high-profile companies have either frozen their pension
plans or are about to do so, and your organization may be in
the same situation. When a plan is frozen, immediate cost
savings are usually realized, but there is still the
potential for significant ongoing cost and financial
volatility for the sponsor of a frozen plan. Freezing the
plan is only the first step, and sponsors are in need of a
plan to minimize these ongoing risks. Sponsors of frozen
plans need to determine how best to wind down their plans
and how to administer them going forward.
Mercer is offering a free web briefing that will feature
lessons learned from working with clients that have frozen
their plans and outline best practices on how to get from
the current state to the target endgame. An analysis of the
current state involves understanding the financial position,
the risk context, and key sources of changes to funded
status. A discussion of the appropriate endgame will
typically focus on a fully funded ongoing plan with minimal
risk, or plan termination.
We will describe how Mercer Frozen Plan Solutions helps
clients integrate frozen plan management, administration, and
asset management and maximize the benefits of freezing a
pension plan.

Capturing the Value of Your Deal – A Focus on People
Leveraging a Clean Team to Enhance Integration Effectiveness
Speakers: Mercer’s Global M&A
Business Leaders John Koob and Bob Bundy (Americas), Sigrid Geens (Europe), and Hiro Nishiguchi (Asia Pacific)
In this era of heightened
shareholder scrutiny of M&A transactions, capturing value
sooner rather than later should be every acquirer’s goal.
And there is growing recognition that the integration of
people and the programs that support them is critical to
achieving the anticipated results. Research has repeatedly
proven that the value realized from a strategic combination
is directly related to the success of integration.
In this web briefing, we
present how “clean teams” can accelerate integration and
dramatically increase the quality of integration planning.
Our practical guidance for deploying and operating clean
teams within strict legal boundaries can benefit any leader
– for any function or an entire business – who is
accountable for delivering on the deal promised through
integration.
The discussion will include:
-
How clean teams are
structured, staffed, and managed.
-
How our clients –
including a well-known global joint venture – captured
more value sooner by using clean teams.
-
How clean teams can help
address cultural issues that often hobble integration.
-
A US perspective of the
underlying pre-close legal restrictions and due
diligence limitations that call for innovative
approaches to integration planning.
-
An international
perspective on integration planning, including local
business norms and how clean teams can accelerate
integration in the UK, Japan, and China.

2006 Executive Compensation: The Current State and
Future Direction
Speakers: Steve Harris, Mike Halloran, Russell Miller, Joann Lublin (The
Wall Street Journal), and Diane Doubleday (moderator)
Mercer Human Resource
Consulting will release its US study of CEO pay in 350 major
industrial and service companies (the “Mercer 350”) on April
10th to The Wall Street Journal for its annual special
section on CEO pay.
Attend this web briefing on Wednesday, April 12, from noon
to 1:00 ET. We’ll discuss the issues weighing on the minds
of board members and compensation committees today,
including:
-
Executive pay levels. Get
Mercer’s read on the 350 CEO pay packages surveyed. What
does the data signal? What interesting tidbits may not
have made it into the final cut of Joann Lublin’s lead
article?
-
Rebalancing the LTI mix.
The prospect of option expensing prompted dramatic
changes in CEOs’ long-term incentive (LTI) mix. Were the
changes too drastic? What can we expect this year?
-
The impact of expensing
and 409A. How are companies changing their equity
compensation programs and employee stock purchase plans?
-
Advances in pay for
performance. Companies have long touted a pay-for-performance philosophy. Have the expensing of stock
options and increased board diligence more visibly
aligned pay with performance?
-
The influence of investors. How are institutional and
individual investors affecting CEO compensation
decisions?
-
Perquisites and benefits.
What are the latest offerings and how do your company’s
programs compare?
